1. Acceptance and eligibility
By accessing this website, requesting a demo, accepting a quotation, creating an account, paying an invoice or using a Growth Disha service, you agree to these Terms and Conditions, the Privacy Policy, the Refund and Cancellation Policy, the applicable quotation or order, and any channel-specific requirements communicated to you.
If you act for a company, institution or other organisation, you confirm that you have authority to bind it. You must be legally capable of entering a binding agreement under applicable law. If you do not agree, do not use the services.
2. Services and onboarding
Growth Disha may provide access to WhatsApp Business messaging, broadcast tools, chatbots, SMS, RCS, email, voice broadcasting, IVR, missed-call solutions, AI voice features, OTP/verification, APIs, integrations, campaign support, onboarding or related professional services described in an accepted order.
Availability depends on technical feasibility, completed verification, payment, required documents, approved sender identities, templates, numbers, domains, channel-provider policies and applicable regulations. A demo, proposal or website description is informational unless expressly incorporated into an accepted order.
3. Accounts, credentials and authorised users
- You must provide accurate, current business, billing and contact information and keep it updated.
- You are responsible for account activity, authorised users, API keys, passwords, webhook secrets and devices under your control.
- You must use reasonable security, restrict privileges, remove former users and notify Growth Disha promptly of suspected unauthorised access.
- You may not share, resell, sublicense or transfer access except under an authorised partner or reseller agreement.
4. Communication consent
When you voluntarily submit your information to Growth Disha through an enquiry, registration, quotation or contact interaction, the following statement applies:
We collect personal details like your name, email address, and phone number etc. By sharing your information, you authorize Growth Disha to contact you via SMS, RCS, WhatsApp, Email, and other communication channels. You may withdraw promotional communication consent through an available opt-out method or by contacting us. Operational, security, transaction, service or legally required communications may continue where necessary.
5. Customer responsibilities
You are responsible for every audience, message, template, call flow, campaign, integration, data source and instruction submitted through your account. You must:
- Collect and maintain valid, demonstrable consent or another lawful basis appropriate to the channel and purpose.
- Honour opt-outs, customer preferences, frequency limits and applicable quiet-hour or category restrictions.
- Register required principal-entity details, headers, templates, consent templates, sender identities, phone numbers or domains.
- Ensure content is accurate, non-misleading, lawful and consistent with telecom, privacy, consumer, intellectual-property and advertising requirements.
- Use contact data only for the purpose for which it was lawfully obtained and apply appropriate security and retention controls.
- Cooperate with delivery providers, audits, complaints, investigations, remediation and verification requests.
Growth Disha may provide tools or guidance, but this does not transfer the customer’s legal responsibility for its business, audience or campaigns.
6. Prohibited and unacceptable use
You must not use the website or services to:
- Send spam, unsolicited commercial communication, fraudulent, deceptive, harassing, abusive, discriminatory, defamatory or illegal content.
- Impersonate another party, conceal sender identity, scrape or harvest contacts, purchase unlawfully sourced databases, or bypass consent and preference systems.
- Distribute malware, phishing, credential theft, unlawful financial schemes, prohibited products or content that infringes privacy or intellectual-property rights.
- Overload, probe, reverse engineer, disrupt or gain unauthorised access to the platform, networks or another account.
- Use OTP or verification tools to mislead users, take over accounts, automate abuse or facilitate an unlawful transaction.
- Engage in any activity prohibited by a telecom operator, Meta, Google, email provider, payment provider or other channel partner whose service is involved.
7. Fees, taxes, wallets and usage
Fees, minimum commitments, setup charges, recurring charges, usage rates, taxes, payment dates and credit validity are stated in the applicable quotation, order, invoice or plan. Unless expressly stated otherwise, prices exclude applicable taxes and third-party charges.
Prepaid credits may be consumed by accepted submissions, delivery attempts, provider events, number or template charges, recurring resources or other billable usage described in the plan. You must monitor balance and usage. Services may pause when funds, limits, documents or approvals are insufficient. Late or disputed payment does not authorise continued service.
Refund and cancellation eligibility is governed by the Refund and Cancellation Policy and the applicable order.
8. Third-party channels and integrations
Communication delivery depends on independent telecom operators, Meta/WhatsApp, Google/RCS, email networks, cloud providers, payment services and customer systems. Their approvals, policies, rate limits, quality controls, outages, filtering, pricing, suspensions and technical changes may affect functionality. You agree to follow their applicable terms. Growth Disha cannot guarantee approval, inbox placement, handset support, recipient action or uninterrupted performance of a third-party network.
9. Intellectual property and feedback
Growth Disha and its licensors retain rights in the website, platform, interfaces, documentation, software, workflows, branding and materials, excluding customer content. Subject to payment and compliance, customers receive a limited, non-exclusive, non-transferable right to use the selected services during the agreed term.
You retain rights you lawfully hold in customer content and grant Growth Disha and necessary providers a limited permission to host, process, transmit, display and adapt that content only as needed to deliver, secure and support the service. Feedback may be used to improve services without identifying confidential customer information.
10. Service changes, maintenance and availability
We may update, maintain, replace or discontinue features to improve security, reliability, compliance or provider compatibility. Where reasonably practicable, material changes affecting paid customers will be communicated through an appropriate channel. Scheduled maintenance, emergencies, network conditions, customer configuration and third-party systems may affect availability.
Any service level, support response, delivery commitment or remedy applies only when expressly stated in an accepted written order or service-level agreement.
11. Suspension and termination
Growth Disha may restrict or suspend service where reasonably necessary for security, non-payment, unlawful or abusive use, excessive complaints, provider direction, regulatory risk, verification failure or breach of these terms. Where the risk permits, we may request corrective action before termination. You may stop using the service or request cancellation under the applicable order and refund policy.
On termination, amounts already due remain payable. Provisions intended by their nature to survive—including confidentiality, payment, intellectual property, liability, dispute and record obligations—continue to apply.
12. Disclaimers and limitation of liability
To the maximum extent permitted by law, services are provided on an “as available” basis. Growth Disha does not promise that every message, email or call will be delivered, read, answered, converted or accepted by a third-party provider.
Growth Disha will not be liable for indirect, incidental, special, punitive or consequential loss, including lost profits, lost opportunities, reputational harm or loss caused by customer content, recipient data, unlawful campaigns, third-party networks or systems outside our reasonable control. Where liability cannot be excluded, aggregate liability relating to a claim will not exceed the fees paid to Growth Disha for the affected service during the three months immediately preceding the event, except where applicable law requires a different result.
Nothing in these terms excludes liability or rights that cannot lawfully be excluded or limited.
13. Indemnity, governing law and disputes
You agree to defend and indemnify Growth Disha against third-party claims, penalties, costs and reasonable expenses arising from your content, audience, consent records, unlawful use, breach of these terms or infringement of another person’s rights, except to the extent caused by Growth Disha’s own unlawful conduct.
These terms are governed by the laws of India. The parties should first attempt good-faith resolution through written notice. Subject to any mandatory consumer forum or statutory right, courts having jurisdiction in Bengaluru, Karnataka will have jurisdiction over disputes.
14. Changes and contact
We may update these terms to reflect service, provider, legal or operational changes. The date at the top identifies the latest version. Continued use after an update takes effect constitutes acceptance to the extent permitted by law. Material changes affecting an active paid order may be separately communicated where appropriate.
